Terms of Service

These Terms of Service (the "Terms") are a binding agreement betweenVST Inc., the company that operates the Watchbill service ("VST," "we," "us"), and the company or organization that registers for a Watchbill account ("Customer," "you"). By creating an account, clicking "I agree," or using the service, you accept these Terms on behalf of your organization and represent that you have authority to do so.

1. The Service

Watchbill is a software platform for security guard companies: scheduling, time keeping, reporting, tours and patrols, dispatch, messaging, visitor management, safety alerts, and related features (the "Service"). The Service is a management and record-keeping tool. It does not provide security services, guarding, monitoring-center response, or emergency dispatch.

2. Not an Emergency Service

Some features (including the panic/SOS button, check-ins, alerts, and notifications) transmit safety-related information. These features depend on mobile devices, batteries, cellular and internet connectivity, third-party push-notification services, and human response — any of which can fail or be delayed. Watchbill is not a substitute for emergency services. In an emergency, call 911 (or your local emergency number). You will instruct your personnel accordingly, and you remain solely responsible for your own emergency-response procedures.

3. Accounts and Responsibilities

  • You are responsible for the accuracy of the information in your account, for the acts and omissions of your users, and for keeping credentials confidential.
  • You are the employer (or principal) of the guards and staff you enroll. Watchbill does not make employment, scheduling, safety, staffing, or compliance decisions — it records and transmits the decisions you make.
  • You are responsible for complying with the laws that apply to your business, including employment and wage/hour law, guard licensing requirements, and any obligation to obtain consent for location tracking of your employees. Watchbill provides disclosure and consent tooling, but the legal obligation is yours.
  • You will not use the Service to violate law, to infringe others' rights, to attempt to breach or probe the security of the platform, or to resell access to the Service.

4. Your Data

  • You retain all rights to the data your organization enters into the Service ("Customer Data"). We use Customer Data only to provide, secure, and improve the Service, and as described in the Privacy Policy.
  • You are responsible for the lawfulness of the Customer Data you collect (for example, visitor identity details, incident descriptions, and personnel information).
  • Upon written request within 30 days after termination, we will make a reasonable export of your Customer Data available, after which we may delete it.

5. Subscription, Trial, and Billing

  • The Service is offered with a free trial, after which continued use requires a paid subscription billed per active user seat, monthly or annually, at the published price or a price agreed with you in writing.
  • Fees are non-refundable except where required by law. We may change prices with at least 30 days' notice; existing subscriptions keep their current price until renewal after that notice.
  • If your subscription lapses, access to paid features may be suspended. We will not delete your Customer Data for at least 30 days after lapse.

6. Availability; Changes

We aim for high availability but do not promise uninterrupted or error-free operation. We may modify, add, or remove features, and may suspend the Service where reasonably necessary (maintenance, security, legal compliance). Material reductions in core functionality during a paid term entitle you to a pro-rata refund of prepaid fees for the affected period as your exclusive remedy.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ALERTS, NOTIFICATIONS, OR DATA WILL BE DELIVERED, ACCURATE, OR PRESERVED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) VST WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) VST'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO VST FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. Some jurisdictions do not allow certain limitations; in those jurisdictions these limits apply to the fullest extent permitted.

9. Indemnification

You will defend and indemnify VST against third-party claims arising from (a) your or your users' use of the Service in violation of these Terms or applicable law, (b) Customer Data, or (c) the security services your organization provides to its own clients.

10. Term, Suspension, and Termination

Either party may terminate at any time; termination does not entitle you to a refund of prepaid fees except as stated in Section 6. We may suspend or terminate access for material breach of these Terms, non-payment, or use that threatens the security or integrity of the platform.

11. Changes to These Terms

We may update these Terms. When we do, we will publish a new version and ask an authorized user of your organization to accept it in the application; continued use of the Service after acceptance (or after 30 days' notice for changes that do not require acceptance) constitutes agreement. The version and time of each acceptance are recorded.

12. General

These Terms are governed by the laws of the state in which VST Inc. is organized, without regard to conflict-of-law rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located there. If any provision is unenforceable, the remainder stays in effect. These Terms plus any written order or pricing agreement are the entire agreement regarding the Service. You may not assign these Terms without our consent, except to a successor in a merger or sale of substantially all assets. Notices to VST: legal@getwatchbill.com.
